Eligibility and Business Use<\/h1>\n<p>2.1 The Service is intended primarily for business and commercial use.<\/p>\n<p>2.2 Customers may be Saudi or non-Saudi entities and may use the Service inside or outside the Kingdom of Saudi Arabia, subject to applicable law.<\/p>\n<p>2.3 Customer represents that it has the legal capacity and authority to enter into these Terms.<\/p>\n<p>2.4 Where Customer is an entity, the person accepting these Terms represents that they are authorized to bind that entity.<\/p>\n<p>2.5 Each Subscription belongs to the legal entity identified in the applicable subscription, quotation, order, or account.<\/p>\n<p>2.6 Related companies, subsidiaries, branches, affiliates, franchisees, or other entities may use a Subscription only where expressly authorized by JustMondo and subject to the applicable plan.<\/p>\n<hr>\n<h1>3. Subscription and License<\/h1>\n<p>3.1 Subject to payment and compliance with these Terms, JustMondo grants Customer a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the applicable Subscription period.<\/p>\n<p>3.2 The license is for Customer&#8217;s internal business operations only.<\/p>\n<p>3.3 Customer may permit Authorized Users to access the Service.<\/p>\n<p>3.4 Customer may not sell, resell, sublicense, rent, lease, distribute, commercially exploit, or provide the Service to unrelated third parties.<\/p>\n<p>3.5 An accountant, consultant, franchise operator, or other third party may manage Customer&#8217;s account only where Customer has expressly authorized that party.<\/p>\n<p>3.6 Customer may not transfer or assign its account to another unrelated business without JustMondo&#8217;s prior written authorization.<\/p>\n<hr>\n<h1>4. Free Trial and Demonstration Accounts<\/h1>\n<p>4.1 JustMondo may provide a free trial of the Service for up to <strong>14 days<\/strong>.<\/p>\n<p>4.2 Free trials are provided without charge unless expressly stated otherwise.<\/p>\n<p>4.3 Trial accounts are demonstration or evaluation environments and are not intended to be relied upon as production systems.<\/p>\n<p>4.4 JustMondo may provide preconfigured demonstration environments for particular industries, including retail, pharmacy, barber shops, tailoring, electronics workshops, construction, manufacturing, and other industries.<\/p>\n<p>4.5 Demo environments may contain sample or fictional information.<\/p>\n<p>4.6 Customer must not rely on demonstration data for accounting, tax, regulatory, operational, or other business purposes.<\/p>\n<p>4.7 Trial and demonstration accounts may be reset, modified, suspended, or deleted by JustMondo without liability.<\/p>\n<p>4.8 Upon expiration of a free trial, the account automatically becomes inactive unless converted into a paid Subscription.<\/p>\n<p>4.9 The Service-level provisions applicable to paid Enterprise customers do not apply to free trials or demonstration accounts.<\/p>\n<hr>\n<h1>5. Subscription Period and Renewal<\/h1>\n<p>5.1 Standard Subscriptions are annual unless otherwise specified in a written quotation or order.<\/p>\n<p>5.2 The Subscription begins when payment has been successfully received and the account has been activated.<\/p>\n<p>5.3 Annual Subscriptions automatically renew for another annual period when the applicable renewal payment is successfully received or processed.<\/p>\n<p>5.4 JustMondo will provide approximately <strong>30 days&#8217; notice<\/strong> before an annual renewal.<\/p>\n<p>5.5 Renewal prices may differ from the previous Subscription price. Any applicable renewal-price change will be communicated before renewal.<\/p>\n<p>5.6 A price change will not affect an already-paid Subscription period.<\/p>\n<p>5.7 Customer may upgrade or downgrade its plan during an active Subscription, subject to plan availability and applicable pricing.<\/p>\n<p>5.8 Upgrades during an active Subscription may be charged on a prorated basis.<\/p>\n<p>5.9 Downgrades may take effect immediately or at the next renewal, depending on the applicable plan and technical requirements.<\/p>\n<hr>\n<h1>6. Fees, Taxes and Payment<\/h1>\n<p>6.1 Subscription fees are payable in advance unless otherwise agreed in writing.<\/p>\n<p>6.2 Payment methods may include credit cards, debit cards, Mada, bank transfer, and other payment methods made available by JustMondo.<\/p>\n<p>6.3 Prices may be stated in <strong>Saudi Riyals (SAR) or United States Dollars (USD)<\/strong>.<\/p>\n<p>6.4 The applicable quotation, order, or subscription confirmation will determine the currency and amount payable.<\/p>\n<p>6.5 Saudi VAT will be included or separately identified as required by applicable law.<\/p>\n<p>6.6 Customer is responsible for taxes, duties, withholding taxes, sales taxes, GST, or other governmental charges applicable to Customer&#8217;s use or purchase of the Service outside JustMondo&#8217;s legal obligations.<\/p>\n<p>6.7 JustMondo may pass through applicable payment-processing, banking, transfer, or transaction fees where disclosed or permitted.<\/p>\n<p>6.8 Customized and Enterprise pricing may be negotiated separately.<\/p>\n<p>6.9 If payment is not received when due, JustMondo may suspend the Service.<\/p>\n<p>6.10 JustMondo may charge applicable late-payment, collection, administrative, reactivation, or legally recoverable collection costs.<\/p>\n<p>6.11 A suspended account may be restored following payment of outstanding amounts and any applicable reinstatement fees.<\/p>\n<hr>\n<h1>7. Refunds and Cancellation<\/h1>\n<p>7.1 Customer may request a refund within <strong>7 days<\/strong> of the earlier of the payment date or Subscription activation date.<\/p>\n<p>7.2 Refunds are subject to the eligibility requirements in these Terms.<\/p>\n<p>7.3 Refunds may be unavailable where:<\/p>\n<p>a. Customer has materially used the Service;<\/p>\n<p>b. Customer materially breached these Terms;<\/p>\n<p>c. Customer&#8217;s account was suspended or terminated for breach;<\/p>\n<p>d. the purchase was expressly identified as non-refundable;<\/p>\n<p>e. Customer purchased custom development or other non-refundable professional services; or<\/p>\n<p>f. the amount relates to an upgrade made during an existing Subscription.<\/p>\n<p>7.4 Approved refunds will ordinarily be returned through the original payment method where technically possible.<\/p>\n<p>7.5 Upgrades are non-refundable.<\/p>\n<p>7.6 Cancellation may be requested through Customer&#8217;s designated sales representative or other cancellation process made available by JustMondo.<\/p>\n<p>7.7 Cancellation takes effect according to the applicable Subscription terms. Unless otherwise expressly agreed, cancellation does not automatically entitle Customer to a refund for the unused portion of an annual Subscription.<\/p>\n<hr>\n<h1>8. Customer Data and Ownership<\/h1>\n<p>8.1 Customer retains all ownership rights in Customer Data.<\/p>\n<p>8.2 Nothing in these Terms transfers ownership of Customer Data to JustMondo.<\/p>\n<p>8.3 Customer grants JustMondo a limited, worldwide, non-exclusive right to host, store, reproduce, transmit, process, modify, display, and otherwise use Customer Data solely as reasonably necessary to:<\/p>\n<p>a. provide and operate the Service;<\/p>\n<p>b. provide technical support;<\/p>\n<p>c. maintain security;<\/p>\n<p>d. perform backups and disaster recovery;<\/p>\n<p>e. comply with law;<\/p>\n<p>f. investigate security incidents or misuse; and<\/p>\n<p>g. perform the activities expressly permitted by these Terms and the applicable Data Processing Addendum.<\/p>\n<p>8.4 Customer is responsible for ensuring that it has all rights, permissions, consents, notices, and legal bases necessary to provide Customer Data to JustMondo.<\/p>\n<p>8.5 Customer remains responsible for the accuracy, completeness, legality, and appropriateness of Customer Data.<\/p>\n<hr>\n<h1>9. Customer Data Access and Export<\/h1>\n<p>9.1 Customer may access its Customer Data during an active Subscription subject to the functionality and permissions of its plan.<\/p>\n<p>9.2 Customer may export its data using available export functionality.<\/p>\n<p>9.3 Following termination or expiration, Customer will have <strong>90 days<\/strong> to export Customer Data.<\/p>\n<p>9.4 After the 90-day period, JustMondo may permanently delete Customer Data.<\/p>\n<p>9.5 JustMondo may retain data beyond the 90-day period where required by law, regulation, court order, governmental authority, ZATCA, regulatory investigation, legal claim, audit requirement, or applicable data-retention obligation.<\/p>\n<p>9.6 Data remaining in backup systems may also be retained until those backup systems are overwritten according to the applicable retention cycle.<\/p>\n<p>9.7 Standard exports will be provided in a standard machine-readable format where technically available.<\/p>\n<p>9.8 Specialized or manual extraction, migration, transformation, or data-recovery services may be subject to additional fees.<\/p>\n<p>9.9 Customer is responsible for maintaining independent copies of critical business records by regularly exporting data from the Service.<\/p>\n<hr>\n<h1>10. Platform and Intellectual Property<\/h1>\n<p>10.1 JustMondo and its licensors own all rights, title, and interest in:<\/p>\n<p>a. iconicERP;<\/p>\n<p>b. the Platform;<\/p>\n<p>c. source code and object code;<\/p>\n<p>d. architecture;<\/p>\n<p>e. databases and platform structures;<\/p>\n<p>f. user interfaces;<\/p>\n<p>g. templates;<\/p>\n<p>h. documentation;<\/p>\n<p>i. designs;<\/p>\n<p>j. algorithms;<\/p>\n<p>k. AI technology;<\/p>\n<p>l. trademarks and branding;<\/p>\n<p>m. APIs and integrations developed by JustMondo;<\/p>\n<p>n. improvements, modifications and enhancements; and<\/p>\n<p>o. all other underlying intellectual property used to operate the Service.<\/p>\n<p>10.2 The Saudi Copyright Law expressly recognizes computer programs as protected works.<\/p>\n<p>10.3 Customer receives only the rights expressly granted under these Terms.<\/p>\n<p>10.4 Customer may not copy, reproduce, distribute, modify, reverse engineer, decompile, disassemble, extract source code from, or create derivative works based on the Platform except where such restriction is prohibited by mandatory law.<\/p>\n<hr>\n<h1>11. Custom Development<\/h1>\n<p>11.1 Customer may request customized development, configuration, integrations, reports, workflows, or other modifications.<\/p>\n<p>11.2 Custom development will be governed by the applicable proposal, statement of work, quotation, or order.<\/p>\n<p>11.3 Unless expressly agreed otherwise in writing, <strong>JustMondo owns all intellectual property rights in custom development<\/strong>, including source code, reusable components, architecture, technical solutions, improvements, and underlying technology.<\/p>\n<p>11.4 Customer receives a right to use the resulting custom functionality as part of its authorized use of the Service.<\/p>\n<p>11.5 Custom development fees are payable according to the applicable proposal or order.<\/p>\n<p>11.6 If Customer cancels custom development after work has commenced, Customer remains responsible for work performed and applicable non-refundable third-party costs.<\/p>\n<p>11.7 Unless otherwise specified in the applicable statement of work, custom development will be deemed accepted seven (7) days after delivery unless Customer reports a material defect during that period.<\/p>\n<hr>\n<h1>12. Feedback<\/h1>\n<p>12.1 Customer may provide suggestions, recommendations, ideas, feature requests, or other feedback.<\/p>\n<p>12.2 Customer grants JustMondo the right to use such feedback without restriction, compensation, attribution, or obligation, provided that JustMondo does not disclose Customer&#8217;s confidential information through such use.<\/p>\n<hr>\n<h1>13. Trademarks and Brand Use<\/h1>\n<p>13.1 iconicERP, JustMondo, IKS &amp; Partners, and associated names, logos, designs, and marks are protected intellectual property.<\/p>\n<p>13.2 Customer may not use JustMondo or iconicERP trademarks without prior written permission.<\/p>\n<p>13.3 Customer may not represent that it owns, operates, develops, or officially represents iconicERP unless expressly authorized.<\/p>\n<hr>\n<h1>14. Acceptable Use<\/h1>\n<p>Customer and its Authorized Users must not:<\/p>\n<p>a. use the Service unlawfully;<\/p>\n<p>b. commit fraud or facilitate fraud;<\/p>\n<p>c. facilitate money laundering or terrorist financing;<\/p>\n<p>d. violate sanctions or applicable regulatory restrictions;<\/p>\n<p>e. infringe intellectual-property rights;<\/p>\n<p>f. upload malware, ransomware, viruses, malicious scripts, or harmful code;<\/p>\n<p>g. attempt unauthorized access;<\/p>\n<p>h. circumvent authentication or security controls;<\/p>\n<p>i. interfere with the Service;<\/p>\n<p>j. overload the Platform;<\/p>\n<p>k. scrape the Service;<\/p>\n<p>l. use unauthorized bots or automated extraction tools;<\/p>\n<p>m. reverse engineer the Platform;<\/p>\n<p>n. conduct unauthorized penetration testing;<\/p>\n<p>o. create competing products using protected Platform information;<\/p>\n<p>p. falsify accounting records;<\/p>\n<p>q. intentionally manipulate invoices or tax records;<\/p>\n<p>r. deliberately circumvent ZATCA requirements;<\/p>\n<p>s. resell or sublicense the Service; or<\/p>\n<p>t. otherwise use the Service in a manner that violates applicable law or materially threatens the Service, JustMondo, or other customers.<\/p>\n<p>Authorized API access is permitted subject to applicable API documentation, rate limits, authentication requirements, and usage restrictions.<\/p>\n<hr>\n<h1>15. Account Security and Authorized Users<\/h1>\n<p>15.1 Customer is responsible for maintaining the confidentiality of account credentials.<\/p>\n<p>15.2 Customer must not share individual user credentials.<\/p>\n<p>15.3 Customer is responsible for creating appropriate users and permissions.<\/p>\n<p>15.4 Customer must promptly disable access for former employees or other persons who are no longer authorized.<\/p>\n<p>15.5 Customer must promptly notify JustMondo of suspected unauthorized access.<\/p>\n<p>15.6 Customer is responsible for activities conducted through its account by its Authorized Users, subject to applicable law.<\/p>\n<p>15.7 Customer must designate an account administrator where required by the applicable plan.<\/p>\n<hr>\n<h1>16. Suspension<\/h1>\n<p>JustMondo may suspend all or part of the Service immediately where reasonably necessary to:<\/p>\n<p>a. protect the Service;<\/p>\n<p>b. protect other customers;<\/p>\n<p>c. address a security threat;<\/p>\n<p>d. prevent unauthorized access;<\/p>\n<p>e. investigate suspected fraud or unlawful activity;<\/p>\n<p>f. comply with applicable law or a governmental order;<\/p>\n<p>g. address a serious breach of these Terms;<\/p>\n<p>h. prevent harm to JustMondo or another party; or<\/p>\n<p>i. address unpaid fees.<\/p>\n<p>Where reasonably practicable, JustMondo will provide notice, but prior notice is not required where immediate action is reasonably necessary.<\/p>\n<hr>\n<h1>17. Termination<\/h1>\n<p>17.1 JustMondo may terminate a Subscription for material breach, unlawful use, serious misuse, non-payment, security threats, or other grounds permitted by these Terms.<\/p>\n<p>17.2 Customer may stop using the Service and request cancellation in accordance with the applicable cancellation procedure.<\/p>\n<p>17.3 Termination for serious Customer breach does not entitle Customer to a refund.<\/p>\n<p>17.4 If JustMondo permanently discontinues iconicERP for reasons unrelated to Customer breach, Customer&#8217;s account will ordinarily remain active until the end of its paid Subscription period, subject to technical feasibility.<\/p>\n<p>17.5 No refund will be provided solely because JustMondo permanently discontinues the Service where the Service remains available through the end of the paid Subscription.<\/p>\n<p>17.6 Termination does not affect rights or obligations that accrued before termination.<\/p>\n<hr>\n<h1>18. Security<\/h1>\n<p>18.1 JustMondo maintains commercially reasonable administrative, technical, and organizational security measures designed to protect the Service and Customer Data.<\/p>\n<p>18.2 Security measures include, as applicable:<\/p>\n<p>a. HTTPS\/TLS encryption;<\/p>\n<p>b. encryption of data at rest;<\/p>\n<p>c. secure password hashing;<\/p>\n<p>d. role-based access controls;<\/p>\n<p>e. user permissions;<\/p>\n<p>f. multi-factor authentication where available;<\/p>\n<p>g. activity and audit logging;<\/p>\n<p>h. firewall and security monitoring;<\/p>\n<p>i. malware protection;<\/p>\n<p>j. vulnerability scanning;<\/p>\n<p>k. intrusion detection\/prevention;<\/p>\n<p>l. security updates;<\/p>\n<p>m. automated monitoring; and<\/p>\n<p>n. disaster-recovery procedures.<\/p>\n<p>18.3 Access to Customer Data by JustMondo personnel is restricted to authorized personnel who reasonably require access for legitimate business purposes.<\/p>\n<p>18.4 Personnel and relevant contractors\/service providers are subject to appropriate confidentiality obligations.<\/p>\n<hr>\n<h1>19. Backups and Disaster Recovery<\/h1>\n<p>19.1 JustMondo performs backups multiple times daily.<\/p>\n<p>19.2 Standard operational backup retention is seven (7) days.<\/p>\n<p>19.3 JustMondo maintains disaster-recovery procedures designed to restore Service operations following qualifying failures.<\/p>\n<p>19.4 Backups are not a substitute for Customer maintaining its own independent copies of critical business information.<\/p>\n<hr>\n<h1>20. Service Availability and Monitoring<\/h1>\n<p>20.1 JustMondo monitors its servers and applications through its <strong>MonServe<\/strong> monitoring service at approximately one-minute intervals.<\/p>\n<p>20.2 Based on current monitoring records, the historical uptime performance of the monitored infrastructure and applications is approximately <strong>99.98%<\/strong>.<\/p>\n<p>20.3 The 99.98% figure represents historical\/current monitored performance and is not a contractual guarantee of future availability.<\/p>\n<p>20.4 Service availability is measured monthly for applicable Enterprise SLA purposes.<\/p>\n<p>20.5 The following are excluded from availability calculations:<\/p>\n<p>a. scheduled maintenance;<\/p>\n<p>b. emergency maintenance;<\/p>\n<p>c. customer-requested maintenance;<\/p>\n<p>d. Customer equipment or network failures;<\/p>\n<p>e. Internet failures outside JustMondo&#8217;s reasonable control;<\/p>\n<p>f. Third-Party Service failures;<\/p>\n<p>g. ZATCA outages;<\/p>\n<p>h. payment gateway outages;<\/p>\n<p>i. banking\/API outages;<\/p>\n<p>j. telecommunications failures;<\/p>\n<p>k. SMS\/WhatsApp provider outages;<\/p>\n<p>l. force majeure events;<\/p>\n<p>m. Customer misuse;<\/p>\n<p>n. security incidents caused by Customer; and<\/p>\n<p>o. lawful or necessary suspension.<\/p>\n<p>20.6 Scheduled maintenance will normally be announced at least 72 hours in advance where reasonably practicable.<\/p>\n<p>20.7 Emergency maintenance may occur without advance notice where reasonably necessary to protect security, integrity, availability, or Customer Data.<\/p>\n<p>20.8 MonServe monitoring records will be the authoritative source for availability measurements absent demonstrable technical error.<\/p>\n<p>20.9 Enterprise customers may receive additional service-level commitments under a separately agreed Enterprise SLA.<\/p>\n<p>20.10 No financial or service credits apply solely because historical availability falls below 99.98%, unless expressly agreed in an Enterprise SLA.<\/p>\n<hr>\n<h1>21. ZATCA and Tax Compliance<\/h1>\n<p>21.1 iconicERP supports functionality intended to support both Phase 1 and Phase 2 Saudi electronic invoicing requirements.<\/p>\n<p>21.2 Where enabled and applicable, iconicERP integrates directly with ZATCA systems through JustMondo&#8217;s infrastructure.<\/p>\n<p>21.3 ZATCA Phase 2 requires integration with ZATCA systems and is implemented in waves.<\/p>\n<p>21.4 Customer remains responsible for:<\/p>\n<p>a. ZATCA registration;<\/p>\n<p>b. tax registration information;<\/p>\n<p>c. VAT treatment;<\/p>\n<p>d. customer and supplier information;<\/p>\n<p>e. invoice data;<\/p>\n<p>f. tax classifications;<\/p>\n<p>g. applicable tax rates;<\/p>\n<p>h. exemptions;<\/p>\n<p>i. accounting configuration;<\/p>\n<p>j. compliance deadlines; and<\/p>\n<p>k. reviewing records and invoices generated through the Service.<\/p>\n<p>21.5 iconicERP is software and is not a tax, accounting, legal, or regulatory adviser.<\/p>\n<p>21.6 Use of iconicERP does not by itself guarantee that Customer complies with ZATCA or any other law.<\/p>\n<p>21.7 JustMondo may modify the Service to accommodate changes in ZATCA requirements, technical specifications, security requirements, APIs, or applicable regulations.<\/p>\n<p>21.8 ZATCA or other governmental-system outages are Third-Party Service interruptions and are not considered iconicERP downtime where iconicERP itself remains operational.<\/p>\n<hr>\n<h1>22. Industry-Specific Compliance<\/h1>\n<p>iconicERP may provide features designed for particular industries, including retail, pharmacy, wholesale, workshops, construction, manufacturing, healthcare, restaurants, and others.<\/p>\n<p>Such features are intended to support business operations and do not constitute legal, regulatory, professional, pharmaceutical, medical, construction, engineering, accounting, tax, or other professional certification.<\/p>\n<p>Customer remains responsible for compliance with laws and regulations applicable to its particular industry.<\/p>\n<hr>\n<h1>23. Privacy and Personal Data<\/h1>\n<p>23.1 Customer Data containing Personal Data will be processed in accordance with the applicable Privacy Policy and Data Processing Addendum (&#8220;DPA&#8221;).<\/p>\n<p>23.2 The Privacy Policy and DPA are incorporated into these Terms.<\/p>\n<p>23.3 The DPA automatically applies to business customers where applicable.<\/p>\n<p>23.4 JustMondo may process Personal Data as necessary to provide the Service and as otherwise permitted by the DPA and applicable law.<\/p>\n<p>23.5 JustMondo may use subprocessors and Third-Party Service Providers.<\/p>\n<p>23.6 Material subprocessor additions may be communicated through website notice.<\/p>\n<p>23.7 Customer remains responsible for providing appropriate privacy notices and obtaining required consents or establishing other lawful bases for processing Personal Data.<\/p>\n<p>23.8 Personal Data may be processed or stored in the United States and other countries, subject to applicable Saudi and international data-protection requirements.<\/p>\n<p>23.9 Cross-border processing will be conducted subject to applicable legal requirements and appropriate safeguards.<\/p>\n<p>23.10 Data-subject requests will generally be handled by Customer, with reasonable assistance from JustMondo where appropriate and subject to legal, security, contractual, and ZATCA requirements.<\/p>\n<p>23.11 JustMondo will handle security incidents and legally required notifications in accordance with applicable law.<\/p>\n<p>23.12 Where applicable, Saudi PDPL requirements concerning international transfers, security, data-subject rights, and breach notifications will apply.<\/p>\n<hr>\n<h1>24. Confidentiality<\/h1>\n<p>24.1 Each party must protect the other&#8217;s Confidential Information and use it only as reasonably necessary to perform its obligations or exercise its rights under the agreement.<\/p>\n<p>24.2 Confidential Information does not include information that:<\/p>\n<p>a. is publicly available without breach;<\/p>\n<p>b. was lawfully known before disclosure;<\/p>\n<p>c. is independently developed;<\/p>\n<p>d. is lawfully received from another source; or<\/p>\n<p>e. must be disclosed by law.<\/p>\n<p>24.3 Confidentiality obligations continue for three (3) years after termination.<\/p>\n<p>24.4 Trade secrets and information that must remain confidential under applicable law remain protected for as long as legally required.<\/p>\n<p>24.5 Where disclosure is legally required, the receiving party may disclose the minimum information legally required and, where legally permitted, provide advance notice.<\/p>\n<hr>\n<h1>25. Third-Party Services and Subprocessors<\/h1>\n<p>25.1 JustMondo may use Third-Party Services necessary to provide iconicERP.<\/p>\n<p>25.2 These may include hosting, storage, backups, monitoring, security, payment processing, communications, infrastructure, analytics, APIs, and other technology providers.<\/p>\n<p>25.3 Third-Party Services may be subject to separate terms and privacy policies.<\/p>\n<p>25.4 JustMondo may replace or discontinue Third-Party Services where reasonably necessary because of provider changes, security, availability, pricing, legal requirements, or technical considerations.<\/p>\n<p>25.5 JustMondo remains responsible for its contractual obligations concerning authorized service providers to the extent required by applicable law and the applicable agreement.<\/p>\n<hr>\n<h1>26. Customer Marketing Reference<\/h1>\n<p>26.1 Customer authorizes <strong>IKS &amp; Partners Co., JustMondo, Inc., and iconicERP<\/strong> to identify Customer as a customer and use Customer&#8217;s name, business name, logo, trademark, testimonial, and approved case-study material in marketing, sales, website, presentations, social media, and promotional materials.<\/p>\n<p>26.2 Customer represents that it has the necessary authority to grant this permission.<\/p>\n<p>26.3 This permission does not authorize disclosure of Customer Data or Confidential Information.<\/p>\n<p>26.4 JustMondo may edit testimonials for grammar, length, formatting, or presentation provided the substance is not materially misrepresented.<\/p>\n<hr>\n<h1>27. Website and Marketing Content<\/h1>\n<p>27.1 Website content, including text, graphics, videos, designs, templates, documentation, product descriptions, and marketing materials, belongs to or is licensed to JustMondo.<\/p>\n<p>27.2 Website content may not be copied, scraped, republished, modified, or commercially exploited without authorization.<\/p>\n<p>27.3 Website descriptions and marketing materials are general descriptions and do not constitute contractual warranties unless expressly incorporated into an applicable agreement.<\/p>\n<p>27.4 JustMondo may correct typographical, pricing, technical, or descriptive errors.<\/p>\n<p>27.5 Public website pricing may change. The price contained in the applicable quotation, subscription confirmation, or order controls Customer&#8217;s Subscription.<\/p>\n<p>27.6 Third-party trademarks remain the property of their respective owners.<\/p>\n<hr>\n<h1>28. Warranties<\/h1>\n<p>28.1 JustMondo warrants that the Service will substantially perform according to its applicable documentation during the Subscription period.<\/p>\n<p>28.2 Custom professional services will be performed with reasonable skill and care consistent with generally accepted professional standards.<\/p>\n<p>28.3 Except for express warranties contained in these Terms or an applicable written agreement, the Service is provided on an &#8220;as is&#8221; and &#8220;as available&#8221; basis to the maximum extent permitted by applicable law.<\/p>\n<p>28.4 JustMondo does not warrant that the Service will be uninterrupted, completely error-free, or suitable for every particular business requirement.<\/p>\n<p>28.5 Customer is responsible for its business decisions, accounting decisions, tax decisions, configurations, data, user permissions, and legal compliance.<\/p>\n<p>28.6 iconicERP does not provide legal, accounting, tax, financial, medical, pharmaceutical, engineering, construction, or other professional advice.<\/p>\n<hr>\n<h1>29. Intellectual Property Indemnification<\/h1>\n<p>29.1 Subject to the limitations in these Terms, JustMondo will defend a Customer against a third-party claim alleging that the authorized use of iconicERP infringes that third party&#8217;s copyright, patent, trademark, or other applicable intellectual-property right.<\/p>\n<p>29.2 JustMondo may control the defense and settlement.<\/p>\n<p>29.3 Customer must promptly notify JustMondo and provide reasonable cooperation.<\/p>\n<p>29.4 If a claim arises, JustMondo may, at its option:<\/p>\n<p>a. obtain the right for Customer to continue using the affected functionality;<\/p>\n<p>b. modify or replace the affected functionality so it becomes non-infringing; or<\/p>\n<p>c. terminate the affected functionality and refund any applicable unused prepaid amount attributable to that functionality.<\/p>\n<p>29.5 This indemnity does not apply to claims arising from:<\/p>\n<p>a. Customer modifications;<\/p>\n<p>b. Customer Data or Customer-provided content;<\/p>\n<p>c. Customer specifications or instructions;<\/p>\n<p>d. unauthorized combinations with third-party products;<\/p>\n<p>e. use outside the intended or documented manner;<\/p>\n<p>f. continued use after a non-infringing alternative has been provided; or<\/p>\n<p>g. obsolete versions where an updated version resolves the issue.<\/p>\n<hr>\n<h1>30. Customer Indemnification<\/h1>\n<p>Customer will defend, indemnify, and hold harmless JustMondo, IKS &amp; Partners Co., and their respective officers, directors, employees, affiliates, and agents against third-party claims arising from:<\/p>\n<p>a. Customer&#8217;s unlawful use of the Service;<\/p>\n<p>b. Customer Data or Customer-provided content;<\/p>\n<p>c. infringement caused by Customer Data or Customer materials;<\/p>\n<p>d. Customer&#8217;s breach of these Terms;<\/p>\n<p>e. fraud or intentional misconduct;<\/p>\n<p>f. violation of applicable law;<\/p>\n<p>g. tax, VAT, or ZATCA violations attributable to Customer;<\/p>\n<p>h. industry-specific regulatory violations; or<\/p>\n<p>i. Customer&#8217;s unauthorized use of the Service.<\/p>\n<p>The indemnified party must provide reasonable notice and cooperation. No settlement may impose an admission, liability, payment obligation, or restriction on the other party without that party&#8217;s consent.<\/p>\n<hr>\n<h1>31. Limitation of Liability<\/h1>\n<p>31.1 To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, lost revenue, lost goodwill, or lost business opportunities.<\/p>\n<p>31.2 To the maximum extent permitted by applicable law, JustMondo&#8217;s aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees actually paid by Customer to JustMondo during the twelve (12) months immediately preceding the event giving rise to the claim.<\/p>\n<p>31.3 The same liability cap applies to indemnification obligations.<\/p>\n<p>31.4 Customer&#8217;s liability will be reduced to the extent Customer contributed to the relevant loss or damage.<\/p>\n<p>31.5 The foregoing limitations apply only to the extent permitted by applicable law and do not purport to exclude or limit liability that cannot legally be excluded or limited.<\/p>\n<p>31.6 JustMondo&#8217;s liability for Customer Data loss is subject to the same limitations, notwithstanding JustMondo&#8217;s backup and disaster-recovery procedures.<\/p>\n<hr>\n<h1>32. Professional Responsibility<\/h1>\n<p>Customer acknowledges that iconicERP is a software platform and that Customer remains responsible for reviewing and validating:<\/p>\n<ul>\n<li>\n<p>accounting records;<\/p>\n<\/li>\n<li>\n<p>financial reports;<\/p>\n<\/li>\n<li>\n<p>tax calculations;<\/p>\n<\/li>\n<li>\n<p>VAT treatment;<\/p>\n<\/li>\n<li>\n<p>inventory records;<\/p>\n<\/li>\n<li>\n<p>payroll information;<\/p>\n<\/li>\n<li>\n<p>invoices;<\/p>\n<\/li>\n<li>\n<p>business decisions;<\/p>\n<\/li>\n<li>\n<p>regulatory submissions; and<\/p>\n<\/li>\n<li>\n<p>other outputs generated using the Service.<\/p>\n<\/li>\n<\/ul>\n<hr>\n<h1>33. Force Majeure<\/h1>\n<p>Neither party will be responsible for failure or delay caused by circumstances outside its reasonable control, including natural disasters, war, government action, widespread cyberattacks, telecommunications failures, major infrastructure failures, power failures, labor disruptions, epidemics, Internet failures, or failures of external infrastructure.<\/p>\n<hr>\n<h1>34. Governing Law and Disputes<\/h1>\n<p>34.1 These Terms are governed by the laws and regulations of the <strong>Kingdom of Saudi Arabia<\/strong>.<\/p>\n<p>34.2 The parties will first attempt in good faith to resolve disputes through negotiation.<\/p>\n<p>34.3 If the dispute cannot be resolved through negotiation, it may be submitted to the <strong>competent courts in Dammam, Kingdom of Saudi Arabia<\/strong>.<\/p>\n<p>34.4 Arbitration may be used only by mutual written agreement of the parties.<\/p>\n<hr>\n<h1>35. Language<\/h1>\n<p>35.1 These Terms may be provided in Arabic and English.<\/p>\n<p>35.2 If the Arabic and English versions conflict, the <strong>Arabic version controls<\/strong>, to the extent permitted by applicable law.<\/p>\n<hr>\n<h1>36. Electronic Acceptance<\/h1>\n<p>36.1 Customer agrees that electronic acceptance of these Terms\u2014including clicking &#8220;I Agree,&#8221; subscribing to the Service, activating an account, or otherwise electronically indicating acceptance\u2014constitutes acceptance of these Terms.<\/p>\n<p>36.2 Electronic records and electronic communications may be used as evidence of Customer&#8217;s acceptance and contractual relationship, subject to applicable law.<\/p>\n<hr>\n<h1>37. Changes to the Terms<\/h1>\n<p>37.1 JustMondo may update these Terms from time to time.<\/p>\n<p>37.2 For material changes, JustMondo will provide approximately <strong>30 days&#8217; notice<\/strong>, normally through website notice.<\/p>\n<p>37.3 Changes may become effective on the date stated in the applicable notice.<\/p>\n<p>37.4 Continued use of the Service after the effective date constitutes acceptance of the updated Terms, subject to applicable law.<\/p>\n<p>37.5 Non-material changes may be implemented without a 30-day advance notice where legally permissible.<\/p>\n<hr>\n<h1>38. Enterprise and Custom Agreements<\/h1>\n<p>38.1 Enterprise customers may have additional service-level, commercial, implementation, or support arrangements.<\/p>\n<p>38.2 A signed quotation, order, statement of work, DPA, SLA, or Enterprise document supplements these Terms only to the extent expressly stated.<\/p>\n<p>38.3 Unless an applicable written agreement expressly states otherwise, these Terms remain controlling.<\/p>\n<p>38.4 Custom development is governed by the applicable statement of work or order in addition to these Terms.<\/p>\n<hr>\n<h1>39. Authorized Partners<\/h1>\n<p>39.1 JustMondo may appoint authorized partners, resellers, consultants, and implementation providers.<\/p>\n<p>39.2 Authorized partners may sell or implement iconicERP under separate written agreements with JustMondo.<\/p>\n<p>39.3 Customer remains responsible for its contractual obligations under these Terms unless an applicable written agreement expressly provides otherwise.<\/p>\n<p>39.4 JustMondo is not responsible for unauthorized promises, warranties, representations, discounts, or commitments made by a partner.<\/p>\n<hr>\n<h1>40. Assignment<\/h1>\n<p>40.1 JustMondo may assign or transfer these Terms to an affiliate, successor, purchaser, or entity acquiring substantially all relevant assets or business.<\/p>\n<p>40.2 Customer may not assign or transfer its Subscription without JustMondo&#8217;s prior written authorization.<\/p>\n<p>40.3 Corporate reorganizations, mergers, acquisitions, or transfers involving Customer may require prior authorization.<\/p>\n<hr>\n<h1>41. Notices<\/h1>\n<p>Formal notices may be delivered by email, courier, registered mail, through the iconicERP account, website notice, or another legally recognized method, depending on the nature of the notice.<\/p>\n<hr>\n<h1>42. Entire Agreement<\/h1>\n<p>These Terms, together with the Privacy Policy, DPA, applicable Subscription\/order documents, statements of work, and applicable Enterprise SLA, constitute the agreement between the parties concerning the Service and supersede prior understandings concerning the same subject matter, except for written agreements expressly preserved by the parties.<\/p>\n<hr>\n<h1>43. Severability<\/h1>\n<p>If any provision is found invalid, unlawful, or unenforceable, the remaining provisions remain in full force to the maximum extent permitted by law.<\/p>\n<hr>\n<h1>44. Waiver<\/h1>\n<p>Failure to enforce a provision does not constitute a waiver of the right to enforce that provision later.<\/p>\n<hr>\n<h1>45. Independent Contractors<\/h1>\n<p>The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment relationship, agency, franchise, or fiduciary relationship.<\/p>\n<hr>\n<h1>46. Survival<\/h1>\n<p>The provisions that by their nature should survive termination will survive, including provisions concerning:<\/p>\n<ul>\n<li>\n<p>intellectual property;<\/p>\n<\/li>\n<li>\n<p>Customer Data;<\/p>\n<\/li>\n<li>\n<p>confidentiality;<\/p>\n<\/li>\n<li>\n<p>privacy and data protection;<\/p>\n<\/li>\n<li>\n<p>payment obligations;<\/p>\n<\/li>\n<li>\n<p>indemnification;<\/p>\n<\/li>\n<li>\n<p>limitations of liability;<\/p>\n<\/li>\n<li>\n<p>governing law;<\/p>\n<\/li>\n<li>\n<p>dispute resolution; and<\/p>\n<\/li>\n<li>\n<p>other provisions intended to survive termination.<\/p>\n<\/li>\n<\/ul>\n<hr>\n<h1>47.
